Use of this Website and the Services are subject to the terms and conditions set out below which should be read in conjunction with our Privacy Policy. By using the Website and the Services You agree to be bound by these terms and conditions. If You do not agree to these terms and conditions You should not use the Website or the Services.


We may make changes to these Terms at any time. We will let You know what these changes are by posting them to this page, but it is Your responsibility as a User to make sure that You are aware of them, by checking for any changes on a regular basis. Changes will become effective as soon as they are posted. If You continue to use Our Website after the posting of changes to these Terms, it means that You accept any such changes.



"Us/We/Our" means Co-oproduct CIC including where the context so allows, its shareholders, employees, affiliates, associated and contracted persons, companies or suppliers and whose registered address is Suite 17769, Lower Ground Floor, 145-157 St John Street, London, EC1V 4PW and whose Company No. is 06716075.

"You/Your" means the User or Member, as indicated by the relevant clause and where not expressly indicated is applicable to both.

"User(s)" means person/persons, companies or other organisations using the Website who are not Members and are not employed by Co-oproduct and acting in the course of their employment;

"E-mail(s)" means - electronic mail received or sent by Us, created and sent by one of Our Members, or automatically created and sent on Our behalf.

"Service(s)" means - the Co-oproduct ideas sharing facilities, newsletters, forums, purchase facilities, communications tools (including web-based email, message boards and email links), information and advertising services provided to Members.

Advertisement means - online promotions of any kind such as banners, skyscrapers, MPU's, sponsorships, e-brochures, advertorials as well as any marketing communications sent to or otherwise viewable by Members who receive the Services.

"Member(s)" means any person, persons, company, or companies that register with Us to receive or use the Services on the Website.

"Website" means - the website that you are currently using (www.co-oproduct.org), including; its web space, pages, and the contents and graphics contained in such space or pages, including any Information and Advertisements, and any sub-domains of this Website unless expressly excluded by their own terms and conditions.

MIY Instructions means any photographs, designs, plans or instruction manuals uploaded to this Website by Our Members.

"Information" means - any information submitted or made available to this Website in relation to the use of the Website and the Services it offers including information submitted during any registration process, the uploading of MIY Instructions, the purchase of Readymade Co-oproducts, the placing of an Advertisement and any other communication processes arising as a result of the use of the Services or the Website.

Project(s) means any items made using MIY Instructions featured on this Website;

Readymade Products means projects that have been made by Members, that a Member advertises and / or makes available for sale to other Members through this Website.


1. General disclaimer

a. This Website is all about sharing information and product design ideas, centered around reuse materials. Members will upload MIY Instructions and submit other Information including views and opinions on Our forums. We rely on the integrity of the Members who submit Information to Our Website; We do not regularly review or moderate submissions and do not recommend or endorse any specific Members Information or Readymade Products.


2. Privacy Policy

a. By accepting this agreement, You expressly consent to uses and disclosures of Your Information as set out in Our then current Privacy Policy, which is incorporated herein by reference.

b. If for any reason You do not wish any or all of Your Information to be used in the way set out in the Website or these Terms and Conditions then please do not use the Services.


3. Disclaimer of warranties

a. The Website and the Services are provided on an "as is" and "as available" basis and We make no warranties or representations, whether express or implied, in relation to the Website or the Services, including but not limited to, implied warranties or conditions of completeness, accuracy, satisfactory quality and fitness for a particular purpose.

b. We make no warranty that the Website or use of the Services will meet Your requirements or will be uninterrupted, timely or secure.

c. We do not represent that the Information contained in the Website or in any communication from Us, is accurate, verified, current, comprehensive or complete. It could contain inaccuracies, typographical, human and/or machine errors or omissions.

d. No warranty is given by Us as to results that may be obtained or the accuracy of any information obtained through the Website or the Services or that any defects in the Website or the Services will be corrected and You understand and agree that any material or data obtained through use of the Website or the Services is at Your own discretion and risk.

e. Save as expressly set out herein, all conditions, warranties and obligations which may be implied or incorporated into this agreement by statute, common law, or otherwise and any liabilities arising there from, are hereby expressly excluded to the extent permitted by law.


4. MIY Instructions and Information

a. You are solely responsible for Your Information. You agree to provide true, accurate, current and complete information when providing details to Us. You agree not to impersonate any other person or entity or to use a false name or a name that You are not authorised to use.

b. Your Information and Your activities on the Website must not, be false, inaccurate or misleading, offensive, menacing, abusive, defamatory, or in breach of copyright, confidence, privacy or any other rights. Your Information must not infringe any third party's copyright, patent, trade mark, trade secret or other proprietary rights or rights of publicity or privacy, be fraudulent, be in breach of any applicable laws or regulations (including, but not limited to, consumer protection, unfair competition, anti-discrimination, false advertising), be obscene, indecent or contain pornography.

c. Your Information must not create liability for Us or cause Us to lose (in whole or in part) the services of Our ISPs or other suppliers.

d. To enable Us to use Your Information, including, without limit, as defined in clause 5 d. below, You grant to Us a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) license to exercise the copyright, trade mark, publicity, and database rights You have in Your Information, in any media now known or that becomes known at any point in the future. You also waive all moral rights You have in Your Information to the fullest extent permitted by law.

e. To enable other Members to use any MIY Instructions You submit to this Website and/or any Readymade Co-oproducts Members purchase from this Website You consent to make MIY Instructions and Readymade Co-oproducts available under a Creative Commons Attribution-NonCommercial-ShareAlike 3.0 Unported License.

d. Your Information may not contain any computer viruses, macro viruses, Trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority or expropriate any system, data or personal information. Your Information may not cause the Website to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Website is in any way impaired.

e. You hereby acknowledge that We, at Our absolute discretion, shall be entitled to review, edit, modify or remove any part or parts of Your Information which We consider is in breach of any of the provisions of these Terms and Conditions.


5. Advertisements and Publicity

a. Members may submit Advertisements for Readymade Products on Our Website. Advertisements are limited to Readymade Products that are directly related to MIY Instructions You or another Member have submitted.

b. We reserve the right to check all new Advertisements submitted to Us. We will do so within a reasonable period after they have been submitted to Us. We reserve the right at Our discretion to reject Advertisements.

c. We reserve the right at Our discretion without notice to edit the text or layout of Advertisements submitted to or posted on Our Website or to locate or relocate Advertisements on Our Website where We think fit.

d. As part of the promotional activities We will periodically undertake to publicise Co-oproduct, We will publish or exhibit examples of Projects and MIY Instructions in the media, (including, without limit, in books, journals, papers, magazines, e-zines, blogs and V-logs) and using physical forums such as galleries and exhibitions. By submitting MIY Instructions and/or by advertising Readymade Products on this Website You agree to reproductions and/or images of them being used in any such promotional activities.


6. Your obligations

a. In consideration of Us making the Website and/or the Services available to You, You:

  1. accept responsibility for any Information You provide on the Website;

  2. agree not to use the Website or the Services for any illegal purpose and in accordance with all relevant laws;

  3. agree not to use the Website or the Services to transmit or post any chain letters or any material for the purposes of publicity, promotion and/or advertising;

  4. agree not to use the Website or the Services to distribute by any means computer viruses or worms to Users or other third parties;

  5. agree not to use the Website or the Services to transmit or post any material which is defamatory, offensive, malicious, misleading or of an obscene or menacing character, or in such a way as to cause annoyance, inconvenience or needless anxiety;

  6. agree not to use the Website or the Services such that the whole or part of the Website or the Services is interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Website or the Services is in any way impaired;

  7. agree not to use the Website or the Services in any manner which constitutes a violation or infringement of any person, firm or company or the rights thereof (including, but not limited to, third party intellectual property rights or confidentiality);

  12. agree that in the event that You have any right, claim or action against any User arising out of the use of the Website or the Service, then You will pursue such right, claim or action independently of, or without recourse to Us.


7.0 Purchase of Readymade Products

a. We accept orders for Readymade Products as agents on behalf of Our Members. The resulting legal contract is between You and that Member, and is subject, in addition to these Terms & Conditions, to the terms and conditions of that Member, which will be displayed within the relevant Readymade Product information. You should carefully review the terms and conditions applying to the transaction.

b. We cannot give any undertaking, that Readymade Products You purchase from Members through the Website, will be of satisfactory quality and any such warranties are disclaimed by Us absolutely. This disclaimer does not affect Your statutory rights as against the Member.

c. Where You order Readymade Products through the Website We may disclose Your Information related to that transaction to the relevant Members.

d. We do not review or control, and are not responsible in any way for Readymade Products supplied by Members and at no time do We hold stock of or possess any items offered for sale through the Website.

e. Each order You place shall be deemed to be an offer by You to purchase the Readymade Product specified within it subject to these Terms & Conditions and any additional terms and conditions notified to You by the Member.

f. No order shall be deemed to be accepted by the Member until the Member issues an email acknowledgement of order.

g. The contract will relate only to those Readymade Products notified in the email acknowledgement of order.

7.1. Payment methods

Purchases may be paid for by using PayPal. All prices are stated and payable in pounds sterling (£), and are plus any applicable taxes.

7.2 Refusal of transaction

We may refuse to process a transaction for any reason or refuse service to anyone at any time at Our sole discretion. We will not be liable to You or any third party by reason of so refusing or by reason of unwinding or suspending any transaction after processing has begun.

7.3 Delivery arrangements

Your shopping cart on the Website displays the goods You have chosen, the Members who will supply them and details of post and packing charges and arrangements. The delivery costs for each Member vary according to the delivery methods they offer. Any delivery times quoted are estimates only, based on availability and normal delivery time in working days.

7.4 Import regulations and duty

a. If You order Readymade Products from Our Website for delivery outside the UK, they may be subject to import duties and taxes which are levied when the delivery reaches the specified destination. You will be responsible for payment of any such import duties and taxes. Please note that We have no control over these charges and cannot predict their amount. Please contact Your local customs office for further information before placing Your order.

b. Please also note that Readymade Products offered for sale by Us are directed solely at UK residents. Co-oproduct CIC and its Members make no representation that any Readymade Co-oproducts sold through this Website are appropriate or available for use outside of the UK. You must comply with all applicable laws and regulations of the country for which the Readymade Products are destined. We will not be liable for any breach by You of any such laws.

7.5 Returns

If You wish to discuss or organise a return, exchange or refund of any item, please contact the Member directly using the contact facility on the Website.


8.0 Members: Selling through Us

a. We will act as Your agent in relation to the purchase of Readymade Products offered for sale by You to other Members.

b. You are responsible for ensuring any terms and conditions You wish to impose in relation to the Readymade Products You make available for purchase on this Website are included within the description/Advertisement of those Readymade Products on this Website.

c. If We notify You that a purchase has been made, You must send the purchaser an e-mail confirming their order which shall include the selling price of the Readymade Products, and any other information required by law. (For Your obligations under UK Law in relation to selling online visit:


d. You must inform Us within a reasonable period if You refuse any transaction executed via this Website and of any non-execution by You of any transactions this Website has procured for You.

e. You must inform Us immediately in the event of supply difficulties, price alterations or alterations of the terms of business that apply to the sale of the Readymade Products.

8.1 Commission

a. We will take a % commission, (the % value of which will be stated on the Website), from the net sale price of the Readymade Products (excluding delivery charges) You make available for sale through this Website. The commission will be used to support the furtherance of Our organisation, including the development of this Website and the community it represents.

b. The Commission shall be taken from the monies received through Our PayPal account from the purchaser. The remaining balance of the transaction will be forwarded to You monthly; usually on the last working day of the month in which the transaction took place, providing the transaction took place before the 21st day of that month. Commission for transactions taking place after the 21st day of the month will be forwarded to You in the following month. We may, at Our sole discretion, elect to send payments to You more frequently.

8.2 Prohibited Items

a. Members must not list Readymade Products for sale on this Website which: are in themselves, or include or create;

  1. Offensive material, including material that incites racial hatred or promotes discrimination based on race, sex, religion, national origin, physical ability, sexual orientation or age;

  2. Obscene material including pornographic material (e.g.: material rated R +18, home porn and hardcore material);

  3. Firearms, ammunition or offensive weapons, poisons, dangerous substances or drugs;

  4. Items that infringe another party's copyright, patent, trademark, design right, database right, or other intellectual property or other proprietary right

  5. Items whose sale, distribution or offering for sale is prohibited by any applicable law;


9. Obtaining MIY Instructions

Members may download MIY Instructions for Products free of charge. You can show Your appreciation of the MIY Instructions You download by making a donation. We will take a % commission (the % value of which will be stated on the Website) from Your donation which will be used to support the furtherance of Our organisation, including the development of this Website and the community it represents, the balance of Your donation will be passed onto the Member who submitted the MIY Instructions to this Website.


10. Our rights

a. We reserve the right to modify or discontinue all or part of, temporarily or permanently, the Website or the Service with or without notice to You and You confirm that We shall not be liable to You or any third party for any modification to or discontinuance of the Website or the Service.

b. The content, layout and organisation of the Website shall be subject to variation at Our sole discretion.

c. In the event of the publication of the Website being restricted, curtailed or prevented by any law or any other act or thing beyond Our control, We may at any time, notwithstanding anything contained in this Agreement, forthwith terminate this agreement in whole or in part.


11. Intellectual property rights in the Website

In line with the founding principles of this Website all present and future copyright and other intellectual property rights subsisting in, or used in connection with, the Website (the "Rights"), including the manner in which the Website is presented or appears and all information and documentation relating thereto, whilst remaining Our property or that of Our licensors, is made available to Users for Non-commercial use under a Creative Commons Attribution-NonCommercial-ShareAlike 3.0 Unported License.


12. Indemnity

You agree to indemnify Us forthwith on demand and hold Us harmless against any and all expenses, damages and losses of any kind (including reasonable legal fees and costs) incurred by Us in connection with any claims, actual or threatened, of any kind (including without limitation any claim of trademark or copyright infringement, libel, defamation, breach of confidentiality, false or misleading advertising or sales practices) arising from the provision of Your Information or from Your use of the Website or the Services.


13. Limitation of liability

a. Neither party shall, nor shall it purport to, exclude or restrict liability for death or personal injury resulting from its negligence or that of their employees, servants or agents acting in the course of their employment.

b. You agree that, except for death and personal injury arising from Our negligence, We shall not be liable in contract, tort, negligence, statutory duty or otherwise, for any loss or damage whatsoever arising from or in any way connected with use of the Website or Services, including, without limitation, any direct, indirect, consequential or special damages or for any loss of business, loss of profits, business interruption, loss of business information, loss of data, or any other pecuniary loss (even where We have been advised of the possibility of such loss or damage). We are not responsible and cannot be held liable for any inaccuracies, the validity, reliability, any falsehoods, misrepresentations, defamatory language or words, libellous statements, fraudulent activities or any other damaging words, sentences or statements contained in the components of E-mails that are not under Our editorial control.

Without limiting the foregoing, We shall have no liability for any failure or delay resulting from any governmental action, fire, flood, insurrection, earthquake, power failure, riot, explosion, embargo, strikes whether legal or illegal, labour or material shortage, transportation interruption of any kind, contract slowdown, transmitter or satellite degradation, failure of the Internet, interruption or failure or any other condition beyond Our control affecting production or delivery of the Website and any information incorporated in it in any manner or any of its obligations under this agreement.

15. Membership: Suspension and termination

a. We reserve the right to suspend or discontinue Our Services to You and terminate Your membership, with immediate effect, as We see fit and in circumstances including, but not limited to;

  1. Where We have good reason to believe that You have breached this agreement or that it is necessary to protect Us or Our other Users; or

  2. Where We receive a complaint relating to You about an Advertisement or about Products referred to in an Advertisement; or

  3. If We are required by law or appropriate authority.

b. If We notify You that We have or will discontinue Your Membership and any Services You have received as a Member You must not attempt to re-register for or use Our Website or Services or re-post or re-submit the relevant content as the case may be.


16. General

a. In the event of any conflict between these Terms and any prior versions thereof, the provisions of these Terms shall prevail unless it is expressly stated otherwise.

b. If any provisions hereof are held to be illegal or unenforceable such provisions shall be severed and the remainder of this agreement shall remain in full force and effect unless the business purpose of this agreement is substantially frustrated thereby.

c Any express or implied waiver by Us of any term or condition hereof or any breach or default by You may be terminated by Us at any time. No such waiver shall constitute a continuing waiver nor shall it prevent Us from acting upon that or any subsequent breach or default or from enforcing any term or condition hereof.

d. The provisions of Clauses 1, 2, 3, 4, 5, 10, 11, 12, and 13 shall survive termination of this agreement.

e. Any notice to be given under this agreement may be given via E-mail, regular mail, facsimile or by hand to the address provided on the Website or otherwise as notified by one party to the other.

f. Nothing herein shall create or be deemed to create any joint venture, principal-agent or partnership relationship between the parties and neither party shall hold itself out in its advertising or otherwise in any manner which would indicate or imply any such relationship with the other.

g. This agreement shall be subject to the laws of England and Wales and the parties shall submit to the exclusive jurisdiction of the English courts.

h. If You are a consumer Your statutory rights are not affected by this agreement
